This course involves an analysis of the principles of company law in Malaysia and their application and generally aims at a wider context and greater depth than is possible in a first-degree course. As good governance has become a key element in our present corporate entity's administration, this course will introduce the concept of corporate governance, its application, and its practice. Topics like corporate personality contrasted with unincorporated associations; lifting the veil of incorporation; corporate theory; limitations on the ability of companies to enter contracts and engage in other transactions; promoters' duties and pre-incorporation contracts; the corporate constitution - the articles of association as a contract; the organs of the company; class rights; the raising, maintenance, and re-organization of share capital; directors' duties; minority shareholders' remedies; and liquidation will be discussed.
